Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Egbe website, platform, and related services, and any purchase of Founder Products (together, the "Services"), operated by Egbe, Inc. ("Egbe", "we", "us"). By using the Services or making a purchase through them, you agree to these Terms.

These Terms are organized in four parts: Part A applies to everyone; Part B applies to Founders who build and sell products through Egbe; Part C applies to Buyers who purchase Founder Products; Part D contains legal terms that apply to everyone.

Part A — For everyone

1. The Services and key definitions

Egbe is a subscription software platform that uses autonomous AI agents to help a founder research, build, launch, and operate a digital business, directed by the founder from a single dashboard (each such subscriber, a "Founder").

Founders can create digital products ("Founder Products") and offer them for sale on sites hosted by Egbe on subdomains of egbe.app or other domains we operate ("Founder Sites"). Egbe provides the sales infrastructure for Founder Products: hosting, checkout, payment collection, order support, analytics, and marketing — including advertising through third-party channels such as Google Ads, Meta Ads, and Reddit Ads. People who purchase Founder Products are "Buyers".

Features may change as we improve the product.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your account information and for keeping your credentials secure. You are responsible for all activity under your account.

Part B — For Founders

3. Subscriptions and billing

• The Egbe Founder plan is offered at $99 USD per month, billed in advance on a recurring basis until cancelled.
• Your subscription renews automatically each billing period unless you cancel before the next renewal.
• You can cancel at any time; cancellation takes effect at the end of the current billing period.
• Except where required by law, subscription payments are non-refundable for partial periods. Prices may change with notice for future billing periods.

4. Selling through Egbe

Founder Products are created and owned by you, and you are their provider, responsible for the Product itself as described in Section 7. Egbe provides the sales channel: we host your Founder Site, operate checkout, collect payments from Buyers, and handle order-level support and refunds as described in Part C. Egbe, through its payment processor Stripe, acts as the merchant of record for sales of Founder Products: Egbe is the seller of record for the transaction, and you authorize Egbe to offer and sell your Founder Product to Buyers on that basis.

5. License to host and promote your Founder Product

You grant Egbe a worldwide, non-exclusive, royalty-free license to host, reproduce, display, distribute, market, and advertise your Founder Product and the related materials you provide (including its name, descriptions, images, and branding) through the Services and through third-party channels — including advertising platforms such as Google Ads, Meta Ads, and Reddit Ads — for the purposes of operating the Services and promoting your Founder Product. This license ends when your Founder Product is removed from the Services, except as needed to complete pending transactions, support past Buyers, and comply with law.

6. Autonomous agents and Agentic Actions

The platform can take actions on your behalf through AI agents — for example, building and deploying your Founder Site, creating marketing content, launching and adjusting advertising campaigns within budgets you set, sending communications, and using integrations or accounts you connect ("Agentic Actions"). Agentic Actions are performed under your direction and within the permissions, budgets, credentials, and schedules you configure, and are treated as your actions under these Terms.

You are responsible for: configuring and limiting agent permissions and connected accounts; setting and monitoring budgets and spending; reviewing agent outputs and scheduled or recurring actions; stopping agents or revoking access when you no longer want an action taken; and ensuring that actions performed within the authority you granted comply with applicable law. The platform provides controls for these purposes; Egbe does not review each Agentic Action in advance.

7. Your responsibilities and warranties as a Founder

You are solely responsible for your Founder Product: its content, quality, legality, the accuracy of all claims made about it, and product-level support beyond order and billing support. You represent and warrant that:

• you own or have all rights needed in your Founder Product and its marketing materials, and they do not infringe any third-party rights;
• your Founder Product and its descriptions comply with applicable laws, and are accurate and not deceptive;
• your Founder Product complies with the policies of our payment processor and of the advertising channels Egbe uses to promote it, including the policies of Google Ads, Meta Ads, and Reddit Ads;
• your Founder Product is not a Prohibited Product (Section 8);
• you will handle any Buyer information you receive through the Services lawfully, use it only in connection with your Founder Product, and honor Buyers' privacy requests;
• if you use Buyer information or the Services to send communications (such as email), you will comply with applicable marketing and anti-spam laws, including consent and unsubscribe requirements; and if your Founder Product itself collects personal data, interacts with users through AI, or involves its own recurring billing, you are responsible for providing the notices, disclosures, and consents that applicable law requires for it.

8. Prohibited Products

You may not sell through Egbe products that: are illegal or facilitate illegal activity; are deceptive or promise specific earnings or guaranteed results; infringe intellectual-property or other rights of any third party; contain malware or enable hacking, surveillance, or spam; are sexually explicit; relate to weapons, drugs, gambling, or counterfeit goods; provide regulated financial, medical, or legal advice without the required licenses; or otherwise violate the policies of our payment processor or of the advertising platforms we use. We may update this list as those policies change.

9. Fees, payouts, and taxes

• Egbe charges a platform fee of 15% of each Founder Product sale.
• Net proceeds (the sale price minus the platform fee, refunds, chargebacks, and related costs) are paid out on your request to your designated payout method. We may apply a short holding period before amounts become available for payout, to cover refunds and chargebacks.
• We may withhold or reserve payouts where we reasonably suspect fraud, policy violations, or elevated refund or chargeback risk, for as long as reasonably needed to resolve the issue.
• As the merchant of record, Egbe collects and remits applicable sales tax and VAT on Buyer transactions. You remain responsible for your own income taxes.

10. Moderation

We may review, decline, pause the promotion of, or remove any Founder Product, and suspend its sales, at any time — including where we believe a Product may violate these Terms, applicable law, or the policies of our payment or advertising partners.

Part C — For Buyers

11. Purchases

Founder Products are created by independent Founders, not by Egbe. Egbe operates the Founder Site, is the merchant of record for your purchase, processes your payment, and provides order support; the Founder is responsible for the Product itself. Prices and any applicable taxes are shown at checkout. Your payment is processed by Stripe, and the charge may appear as "EGBE" on your statement.

12. Delivery

Founder Products are digital and are made available to you promptly after successful payment, via download or online access as described on the product page.

13. Refunds and order support

You may request a refund within 14 days of purchase by emailing support@egbe.ai; refunds are issued to your original payment method. We may decline refund requests where we identify abuse of this policy. If you cannot access a Product you paid for or believe you were charged in error, contact us at any time. For help with any order or billing question, contact support@egbe.ai.

If you are a consumer in the EEA or the UK, this policy applies in addition to your statutory rights, and nothing in these Terms limits mandatory consumer rights that apply to you.

14. Product content

Product descriptions and claims are provided by Founders. Egbe does not endorse any Founder Product and does not guarantee that any Product will meet your expectations or produce any particular result.

Part D — Legal terms for everyone

15. Acceptable use

You agree not to use the Services to break the law, infringe others' rights, distribute malware, attempt to disrupt or reverse-engineer the Services, interfere with other users' products or data, or build or sell anything that is illegal, deceptive, or harmful. We may suspend or terminate accounts that violate these Terms.

16. Your content and AI output

You retain ownership of the content and instructions you provide. You grant us a license to use them solely to operate and improve the Services and as described in Section 5. Output generated by Egbe's AI on your behalf is yours to use, subject to these Terms; you are responsible for reviewing it and ensuring your use complies with applicable laws and third-party rights.

AI output is generated automatically and may be inaccurate, incomplete, or biased. Similar or identical output may be generated for other users: you receive no exclusivity in AI output, and another user's receipt of similar output does not violate your rights. Generated code may include open-source components, and you are responsible for reviewing license, security, and attribution requirements before use. Egbe does not provide legal, tax, financial, medical, or other professional advice, and you are responsible for obtaining any permits, licenses, and regulatory approvals your business requires.

17. Our intellectual property

The Services, including the platform, software, branding, and content we provide, are owned by Egbe and protected by intellectual-property laws. These Terms do not grant you any rights in our intellectual property except the limited right to use the Services.

18. Third-party services

The Services rely on third parties — for example, cloud hosting, our payment processor Stripe, AI model providers (such as Anthropic, OpenAI, and Google), and advertising platforms such as Google Ads, Meta Ads, and Reddit Ads. We are not responsible for third-party services, and your use of them may be subject to their own terms.

19. Copyright and other IP complaints

If you believe that content on the Services — including a Founder Product — infringes your copyright or other rights, email support@egbe.ai with: identification of the work you believe is infringed, the location of the allegedly infringing content, your contact details, and a good-faith statement that the use is not authorized. We may remove or disable access to the content and will terminate the accounts of repeat infringers where appropriate.

20. Disclaimers

The Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, to the maximum extent permitted by law. Founder Products are provided by Founders, and, to the maximum extent permitted by law, Egbe is not responsible for their content, quality, or performance. We do not warrant that the Services will be uninterrupted or error-free, or that any business built with Egbe will achieve any particular result.

21. Limitation of liability

To the maximum extent permitted by law, Egbe will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim relating to the Services will not exceed the amount you paid us in the 12 months before the claim; for claims relating to a Founder Product, our total liability will not exceed the amount you paid for that Product. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

22. Indemnification

If you are a Founder, you will defend and indemnify Egbe against claims, losses, and expenses (including reasonable legal fees) arising from your Founder Products, your content, your Agentic Actions, or your breach of these Terms.

23. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Services. On termination of a Founder account, we may complete pending transactions and will pay out accrued net proceeds in accordance with Section 9, less any amounts withheld under that Section. Buyers' access to a previously purchased Product may end if that Product is removed from the Services. Sections that by their nature should survive termination will survive.

24. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Continued use of the Services after changes take effect means you accept the revised Terms.

25. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Delaware. If you are a consumer, this Section does not deprive you of the protection of mandatory consumer-law provisions of the country where you live.
