These Terms of Service ("Terms") govern your access to and use of the Egbe website, platform, and related services (the "Services"), operated by Egbe, Inc. ("Egbe", "we", "us"). By using the Services, you agree to these Terms.

1. The Services

Egbe is a subscription software platform that uses autonomous AI agents to help a founder research, build, launch, and operate a digital business, directed by the founder from a single dashboard. Features may change as we improve the product.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your account information and for keeping your credentials secure. You are responsible for all activity under your account.

3. Subscriptions and billing

• The Egbe Founder plan is offered at $99 USD per month, billed in advance on a recurring basis until cancelled.
• Your subscription renews automatically each billing period unless you cancel before the next renewal.
• You can cancel at any time; cancellation takes effect at the end of the current billing period.
• Except where required by law, payments are non-refundable for partial periods. Prices may change with notice for future billing periods.

4. Acceptable use

You agree not to use the Services to break the law, infringe others' rights, distribute malware, attempt to disrupt or reverse-engineer the Services, or build anything that is illegal, deceptive, or harmful. We may suspend or terminate accounts that violate these Terms.

5. Your content and AI output

You retain ownership of the content and instructions you provide. You grant us a license to use them solely to operate and improve the Services. Output generated by Egbe's AI on your behalf is yours to use, subject to these Terms; you are responsible for reviewing it and ensuring your use complies with applicable laws and third-party rights.

6. Our intellectual property

The Services, including the platform, software, branding, and content we provide, are owned by Egbe and protected by intellectual-property laws. These Terms do not grant you any rights in our intellectual property except the limited right to use the Services.

7. Third-party services

The Services rely on third parties (for example, cloud hosting and payment processors). We are not responsible for third-party services, and your use of them may be subject to their own terms.

8. Disclaimers

The Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or that any business built with Egbe will achieve any particular result.

9. Limitation of liability

To the maximum extent permitted by law, Egbe will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim relating to the Services will not exceed the amount you paid us in the 12 months before the claim.

10. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Services. Sections that by their nature should survive termination will survive.

11. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Continued use of the Services after changes take effect means you accept the revised Terms.

12. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Delaware.
